This Affiliate Program Agreement (“Agreement”) is entered into as of date of a registration of Affiliate Partner between AdventureDoesNotWait.com, hereinafter referred to as “E-shop,” and the affiliate partner, hereinafter referred to as the “Affiliate Partner.”
- Purpose The purpose of this Agreement is to establish the terms and conditions under which the Affiliate Partner shall promote the products offered by the E-shop through unique affiliate links or coupon codes.
- Affiliate Program
2.1 Enrollment: The Affiliate Partner shall apply to join the E-shop’s Affiliate Program through the designated application process.
2.2 Approval: The E-shop reserves the right to approve or deny any affiliate application at its sole discretion.
2.3 Promotion: Upon approval, the Affiliate Partner shall promote the E-shop’s products using unique affiliate links or coupon codes provided by the E-shop. - Affiliate Commissions
3.1 Commission Structure: The Affiliate Partner shall be entitled to a commission on each successful sale made through their unique affiliate link or coupon code. The commission percentage shall be agreed upon in advance between both parties.
3.2 Deductions: The commission shall be calculated based on the total order value after deducting shipping costs and applicable taxes (VAT).
3.3 Monthly Payout: The E-shop shall send the accumulated commission for each month (from the 1st to the last day of the month) to the Affiliate Partner no later than the 5th business day of the following month.
3.4 Earnings Visibility: The Affiliate Partner can track their earnings online through the designated section on our e-shop. - Prohibited Activities The Affiliate Partner agrees to refrain from engaging in any activities that may harm or damage the reputation or interests of the E-shop. Prohibited activities include but are not limited to:
4.1 False Advertising: Misrepresenting the E-shop’s products, services, or brand in any way.
4.2 Spamming: Sending unsolicited emails or messages to promote the E-shop’s products.
4.3 Trademark Infringement: Using the E-shop’s trademarks, logos, or intellectual property without prior written consent.
4.4 Fraudulent Activities: Engaging in any fraudulent or deceptive practices to generate sales or referrals. - Term and Termination
5.1 Term: This Agreement shall commence upon the Affiliate Partner’s acceptance into the Affiliate Program and shall remain in effect until terminated by either party.
5.2 Termination: Either party may terminate this Agreement at any time for any reason by providing written notice to the other party.
5.3 Effect of Termination: Upon termination, the Affiliate Partner shall no longer be eligible for commissions on future sales generated through their affiliate links or coupon codes. - Miscellaneous
6.1 Relationship: Nothing in this Agreement shall be construed as creating a partnership, joint venture, agency, or employment relationship between the parties.
6.2 Modification: This Agreement may only be modified in writing and signed by both parties.
6.3 Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the United Kingdom.
6.4 Entire Agreement: This Agreement constitutes the entire understanding between the parties concerning the subject matter hereof and supersedes all prior and contemporaneous agreements.
IN WITNESS WHEREOF, the parties hereto have executed this Affiliate Program Agreement as of the Effective Date.
